Welcome to InventoryQuant (“Company”, “we”, “our”, or “us”). These Terms of Service (“Terms”) and our Privacy Policy (“Policy”) govern your use of our digital platforms, including our website, software applications, APIs, machine learning models, and other products and services (collectively referred to as the “Services”). These Terms form a binding legal agreement between you and InventoryQuant. By accessing or using our Services in any capacity, including as a visitor, registered user, or entity representative, you signify that you have read, understood, and agreed to be bound by these Terms, including any supplemental terms referenced herein.
InventoryQuant provides advanced AI-based inventory intelligence and analytics tools designed to help businesses manage, categorize, price, and understand their physical and digital inventory assets. Our Services incorporate proprietary natural language processing systems, audio recognition modules, real-time and batch-processing pricing engines, visual categorization interfaces, and integration capabilities with third-party platforms. The use of InventoryQuant requires compliance with our Terms, and we expect all users to interact with our Services in a responsible, lawful, and respectful manner that aligns with these policies.
In order to access certain functionalities of the Services, you may be required to create an account and submit registration information. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. InventoryQuant will not be liable for any losses or damages resulting from unauthorized access or use of your account. You must notify us immediately of any suspected unauthorized activity or security breach associated with your account, and we reserve the right to suspend or terminate your access if we detect any fraudulent or malicious behavior.
As part of our Services, users may upload, transmit, or store data such as audio files, text transcripts, item metadata, pricing logs, categorization labels, usage metrics, and diagnostic information (collectively referred to as “User Data”). You retain full ownership of your User Data. However, by submitting User Data to our platform, you hereby grant InventoryQuant a non-exclusive, worldwide, perpetual, irrevocable, sublicensable, royalty-free license to use, reproduce, host, store, analyze, modify, translate, and create derivative works of such data. This license is essential for us to provide our Services, improve performance, train machine learning models, develop new features, ensure platform security, and comply with legal obligations.
You acknowledge and agree that the User Data you submit may be utilized to train proprietary algorithms, including supervised and unsupervised learning systems, neural networks, and large language models, to enhance the accuracy and capabilities of our Services. InventoryQuant shall have the right to retain anonymized and aggregated forms of User Data indefinitely. You waive any rights to compensation, attribution, confidentiality, or retraction for such use, and you represent that you have the legal authority to grant such rights with respect to any data you provide.
You agree not to misuse the Services. Prohibited conduct includes, but is not limited to: attempting to gain unauthorized access to our infrastructure; introducing malware, automated bots, or other disruptive code; reverse engineering or extracting the source code of any part of the platform; misrepresenting your affiliation with any individual or organization; using the platform for the transmission of unlawful, harassing, libelous, or abusive material; impersonating others; violating the intellectual property or data protection rights of others; or engaging in any activity that may impair the performance, availability, or integrity of the Services. Violations of these restrictions may result in the suspension or termination of your access, as well as legal consequences under applicable laws.
The Services, including but not limited to the platform interface, underlying code, visual designs, branding, documentation, algorithms, and all other content, are owned and operated by InventoryQuant and protected under copyright, trademark, trade secret, and other intellectual property laws. You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services without our express written consent. Any feedback, suggestions, or recommendations you provide may be used by InventoryQuant without any obligation to compensate you.
We collect and process information in accordance with our Privacy Policy. This includes personal identifiers (such as name, email, and device ID), technical and usage data (such as browser type, session time, and user interactions), and uploaded content (such as audio or item metadata). We may use this data to provide core functionality, improve the Services, comply with legal obligations, investigate security incidents, and deliver relevant insights and content. We may share data with service providers, legal authorities, and integration partners, but we do not sell your personal information.
If you are located outside the United States, you acknowledge that your data may be transferred to and processed in the United States or other jurisdictions that may not provide the same level of data protection as your home country. By using the Services, you consent to such transfers. You may have rights under applicable data protection laws (such as GDPR or CCPA) including the right to access, correct, delete, or restrict the use of your data. The Services are provided on an “AS IS” and “AS AVAILABLE” basis. InventoryQuant makes no representations or warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, reliability, availability, or non-infringement. We do not guarantee that the Services will operate uninterrupted, securely, or error-free.
To the maximum extent permitted by law, InventoryQuant shall not be liable for any indirect, incidental, consequential, special, or exemplary damages arising out of or in connection with the use of the Services, including but not limited to loss of data, loss of revenue, or business interruption. In no event shall our aggregate liability exceed the amount you paid to use the Services in the twelve (12) months preceding the claim.
You agree to indemnify, defend, and hold harmless InventoryQuant, its officers, employees, affiliates, contractors, licensors, and partners from and against any claims, liabilities, damages, losses, or expenses arising out of or in any way connected with your use of the Services, your User Data, or your violation of these Terms or applicable law.
InventoryQuant reserves the right to modify or update these Terms at any time. When changes are made, we will revise the “Effective Date” above and, if significant, provide notice via email or on the platform. Your continued use of the Services after any modifications constitutes your acceptance of the revised Terms.
We may terminate or suspend your access to the Services at any time, with or without notice, if we believe you have violated these Terms or applicable law. Upon termination, you will no longer be authorized to access the Services, and all licenses granted to you will immediately cease.
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association, to be held in San Francisco, California. You waive any right to participate in a class action or jury trial.
